These Terms & Conditions (“Terms”) govern subscriptions to and use of software, integrations, managed services, and related services provided by Coders Region (“Coders Region,” “Company,” “we,” “us,” or “our”).

By purchasing, subscribing to, accessing, or using a service provided by Coders Region, the customer (“Client,” “you,” or “your”) agrees to these Terms.

1Services
Coders Region provides software subscription services, Salesforce solutions, managed integrations, automation services, and related technical services. The specific scope of services, subscription period, pricing, implementation requirements, support terms, and any additional conditions applicable to a Client will be described in a proposal, Service Order, statement of work, invoice, or other written agreement (“Service Order”). These Terms are incorporated into each applicable Service Order by reference. If a Service Order expressly conflicts with these Terms, the Service Order will control for that particular service.
2Subscription & Billing
Subscription and managed-service fees are billed in advance according to the billing cycle specified in the applicable Service Order. Unless otherwise stated in writing: Fees are non-refundable except where required by applicable law. Client is responsible for applicable taxes, duties, or similar governmental charges associated with the service. Failure to make payment when due may result in suspension or termination of the affected service. Coders Region may revise pricing for future subscription or renewal periods by providing reasonable advance notice. Any minimum subscription commitment stated in the applicable Service Order remains payable according to its terms.
3Term & Renewal
Each service begins on the date specified in the applicable Service Order and continues for the agreed subscription or service term. Unless otherwise stated in the Service Order, subscriptions may renew automatically for successive periods until cancelled in accordance with the applicable cancellation terms. The Service Order will determine any minimum commitment period, renewal cycle, and required cancellation-notice period.
4Cancellation & Termination
Either party may terminate a service according to the cancellation terms specified in the applicable Service Order. Cancellation does not remove payment obligations relating to: - Fees already incurred; - Amounts due for an agreed minimum subscription period; or - Other non-cancellable commitments expressly stated in the Service Order. Coders Region may suspend or terminate a service if the Client materially breaches these Terms, fails to make required payments, uses the service unlawfully, or creates a material security or operational risk. Where reasonably possible, Coders Region will provide notice and an opportunity to resolve the issue before termination.
5Client Responsibilities
The Client agrees to: - Provide accurate information reasonably required to configure and operate the service; - Maintain appropriate authorization to provide Coders Region with access to systems, accounts, and data involved in the service; - Maintain valid licenses and accounts for applicable third-party platforms; - Use the service in compliance with applicable laws, regulations, and third-party agreements; - Protect credentials and access information provided to authorized users; and - Promptly inform Coders Region of changes to systems, credentials, configurations, permissions, APIs, business processes, or third-party services that may affect operation of the service. Coders Region is not responsible for service interruptions caused by inaccurate information, revoked access, expired credentials, third-party configuration changes, or other circumstances outside Coders Region's reasonable control.
6Client Data & Confidentiality
Coders Region will use Client data only as reasonably necessary to provide, support, maintain, secure, and troubleshoot the subscribed services. Coders Region will use reasonable administrative, technical, and organizational safeguards appropriate to the nature of the service and information involved. Each party agrees to protect confidential information received from the other party and not disclose it except: - As necessary to provide or receive the services; - To personnel or service providers with an appropriate need to know; - With the other party's authorization; or - Where disclosure is required by law. The Client remains responsible for determining whether its use of the service complies with privacy, healthcare, financial, data-protection, or other industry-specific requirements applicable to the Client. Where additional agreements such as a Business Associate Agreement or Data Processing Agreement are required, those agreements must be entered into separately where applicable.
7Intellectual Property
Coders Region will use Client data only as reasonably necessary to provide, support, maintain, secure, and troubleshoot the subscribed services. Coders Region will use reasonable administrative, technical, and organizational safeguards appropriate to the nature of the service and information involved. Each party agrees to protect confidential information received from the other party and not disclose it except: - As necessary to provide or receive the services; - To personnel or service providers with an appropriate need to know; - With the other party's authorization; or - Where disclosure is required by law. The Client remains responsible for determining whether its use of the service complies with privacy, healthcare, financial, data-protection, or other industry-specific requirements applicable to the Client. Where additional agreements such as a Business Associate Agreement or Data Processing Agreement are required, those agreements must be entered into separately where applicable.Coders Region retains all rights, title, and interest in its: - Software; - Applications; - Connectors; - Integration frameworks; - Automation systems; - Source code; - Architecture; - Libraries; - Templates; - Processes; - Documentation; and - Other underlying technology or intellectual property. Unless expressly stated otherwise in a written agreement, payment for a subscription or managed service does not transfer ownership of the underlying software, source code, automation infrastructure, or intellectual property to the Client. The Client receives the right to use the subscribed service and its outputs during the applicable service term. The Client retains ownership of its own business data and materials provided to Coders Region.
8Service Availability
Coders Region uses commercially reasonable efforts to provide reliable services. However, services may occasionally be unavailable or interrupted because of maintenance, third-party outages, API changes, authentication issues, infrastructure failures, security events, internet connectivity, or circumstances outside Coders Region's reasonable control. Unless expressly provided in a separate written Service Level Agreement, no specific uptime or uninterrupted availability guarantee is provided.
9Disclaimer of Warranties
To the maximum extent permitted by applicable law, services are provided on an “as is” and “as available” basis. Coders Region does not warrant that: - A service will operate without interruption; - A third-party platform will remain unchanged or continuously available; - Every error or compatibility issue can be prevented; or - A service will satisfy requirements that were not included in the agreed scope. Coders Region will use commercially reasonable and good-faith efforts to provide and support the services.
10Limitation of Liability
To the maximum extent permitted by applicable law, Coders Region's aggregate liability arising out of or relating to a particular service will not exceed the total fees actually paid by the Client to Coders Region for that service during the three (3) months immediately preceding the event giving rise to the claim. Coders Region will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, business opportunity, goodwill, or anticipated savings. Coders Region will also not be responsible for losses resulting from outages, actions, restrictions, changes, or failures of third-party platforms outside Coders Region's reasonable control.
11Suspension for Security or Operational Risk
Coders Region may temporarily suspend a service when reasonably necessary to: - Protect Client data; - Protect Coders Region infrastructure; - Prevent unauthorized access; - Address suspected misuse; - Respond to a security incident; or - Prevent material harm to a Client or third-party system. Where practical, Coders Region will inform the Client of the suspension and work to restore service once the underlying issue has been resolved.
12Changes to Services
From time to time, Coders Region may improve, modify, replace, or update components of its services. Changes that do not materially reduce the core functionality of a subscribed service may be implemented without requiring a new agreement. Material scope changes requested by the Client may require additional fees or a revised Service Order.
13Changes to These Terms
Coders Region may update these Terms periodically to reflect changes in its services, business practices, technology, or legal requirements. The updated version will be published on this page together with a revised “Last updated” date. Where required or reasonably appropriate, Coders Region may provide additional notice of material changes. Continued use of the applicable service after updated Terms take effect constitutes acceptance of the revised Terms to the extent permitted by applicable law.
14Force Majeure
Neither party will be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, widespread internet or telecommunications failures, governmental actions, labor disruptions, war, civil unrest, cyberattacks affecting third-party infrastructure, or major failures of external service providers.
15Entire Agreement
These Terms, together with the applicable Service Order and any other agreement expressly incorporated into it, constitute the agreement between the parties regarding the applicable service. If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect.
